1. Agreement to Terms

3. Use License

3.1 Website License

4. Service Terms

4.2 Client Responsibilities

Clients are responsible for:

5. Payment Terms

5.1 Payment Schedule

• 30% booking amount upon selection
• 40% payment as per progress milestones
• 30% final payment upon possession

5.2 Late Payments

Late payments may result in:

• Suspension of work until payment is received
• Additional charges as specified in the service agreement
• Termination of services for payments overdue by more than 30 days

6. Intellectual Property

6.1 Client-Specific Work

Upon full completion of transaction and payment, clients own the rights to the property and associated documentation as per Indian property laws, subject to:

• Lotus Real Estate retaining rights to marketing materials and architectural concepts (unless otherwise agreed)
• Third-party software licenses remaining with their respective owners
• Source code access as specified in individual agreements

6.2 Company Property

Lotus Real Estate retains all rights to:

• Proprietary frameworks and tools
• General business processes and methodologies
• Pre-existing intellectual property
• Website content and materials

7. Confidentiality

Both parties agree to maintain confidentiality of:

• Proprietary business information
• Technical specifications and requirements
• Financial information and pricing
• Customer data and personal information

8. Warranties and Disclaimers

8.1 Service Warranty

Lotus Real Estate warrants that services will be performed with professional skill and care. We provide:

• Verification of all property documentation and legal status
• Full disclosure of known property facts
• Assistance with registration and handover processes

8.2 Disclaimers

Except as expressly stated, all services are provided "as is" without warranty of any kind, either express or implied, including but not limited to:

• Compatibility with all third-party systems
• Uninterrupted or error-free operation
• Specific performance metrics or results

9. Limitation of Liability

Lotus Real Estate's liability is limited to:

• Direct damages only, excluding indirect or consequential damages
• Maximum liability not exceeding the total amount paid for services
• No liability for business interruption or lost profits
• No liability for third-party actions or data breaches beyond our control

10. Indemnification

Clients agree to indemnify Lotus Real Estate against claims arising from:

• Misuse of delivered solutions
• Violation of third-party rights
• Inaccurate information provided by the client
• Client's failure to comply with applicable laws

11. Termination

11.1 Termination by Client

Clients may terminate services with:

• 30 days written notice
• Payment of all outstanding amounts
• Acceptance of work completed to date

11.2 Termination by Company

Lotus Real Estate may terminate services for:

• Non-payment beyond 30 days
• Material breach of terms
• Client conduct that interferes with service delivery

12. Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including:

• Natural disasters and acts of God
• Government actions and regulations
• Internet service provider failures
• Global pandemics or health emergencies

13. Governing Law and Jurisdiction

These terms are governed by the laws of India. Any disputes shall be resolved through:

• Negotiation and mediation as the first step
• Arbitration if mediation fails
• Courts in Pune, Maharashtra as the final jurisdiction

14. Modification of Terms

Lotus Real Estate may revise these terms at any time by:

• Updating this page with new terms
• Notifying existing clients of material changes
• Providing 30 days notice for significant modifications

15. Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
